Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you ("you," "your") and Gray Swan Solutions ("MealPlan," "we," "us," "our"), the operator of the MealPlan service available at mealplan.grayswan.solutions (the "Service"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use MealPlan. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement of a parent or legal guardian. By using the Service, you represent that you meet these requirements and that any information you provide is accurate.

3. Accounts

• You may create an account by signing in with Google or by entering an email address. You are responsible for maintaining the security of the email account or Google account you use to sign in.
• You are responsible for all activity that occurs under your account.
• One person, one account. Don't share login credentials or use one account to serve multiple unrelated households or businesses.
• Notify us at holden@grayswan.solutions if you suspect unauthorized access to your account.

4. The Service

MealPlan helps you plan weekly meals by combining your dietary preferences, household details, and (optionally) your Google Calendar schedule. The Service uses Anthropic's Claude AI to generate meal plan proposals and grocery lists. Meal plans, recipes, and suggestions are generated automatically and may contain mistakes, inaccuracies, or omissions. You are responsible for reviewing each plan before shopping or cooking, especially with respect to allergies, dietary restrictions, food safety, and nutritional adequacy. MealPlan is not a substitute for advice from a qualified dietitian, doctor, or other medical professional.

5. Free trial and subscriptions

• New accounts receive a one (1) week free trial of paid features. No payment information is required to start the trial.
• After the trial, continued use of paid features requires a subscription. Current pricing is $5.00 per month or $29.99 per year, billed in advance. The annual plan represents roughly half the monthly price and is the cheapest option for ongoing use.
• Prices may change. If we change the price of your existing subscription, we will give you at least 30 days' notice before the change takes effect, and you may cancel before the new price applies.
• Subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date.
• You can cancel at any time from your billing page. Cancellation takes effect at the end of the current paid period; the Service remains available until that date.
• Except where required by law, fees are non-refundable. If you believe you were charged in error, contact us and we will review the situation in good faith.

6. Payment processing

All payments are processed by Stripe. By subscribing, you also agree to Stripe's terms of service and privacy policy. We do not store full card numbers, CVCs, or bank credentials on our servers. If a payment fails, we may retry it and may suspend paid features until the balance is resolved.

7. Google services

If you connect Google Sign-In or Google Calendar to MealPlan, your use of those Google services is also governed by Google's terms and privacy policy. Our use of Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements. 8. Acceptable use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any account, server, or network connected to the Service.
• Reverse engineer, decompile, scrape, or attempt to extract source code from the Service, except to the extent expressly permitted by law.
• Use automated means (bots, scrapers, harvesters) to access the Service except through any API we expressly publish.
• Resell, sublicense, or commercially exploit the Service or its outputs without our written permission.
• Submit content that infringes another party's intellectual property, privacy, or other rights.
• Use the Service in a manner that could damage, disable, overburden, or impair our infrastructure or interfere with another user's enjoyment of the Service.
• Use the Service or its outputs to train a competing AI model.

We reserve the right to suspend or terminate accounts that violate these rules.

9. Your content

You retain ownership of the dietary preferences, recipes, ratings, and other content you submit to MealPlan ("Your Content"). You grant us a limited, non-exclusive, royalty-free license to host, process, display, and transmit Your Content solely for the purpose of operating and improving the Service for you. We do not claim ownership over Your Content and do not use it to train AI models.

10. AI-generated output

Meal plans, recipes, grocery lists, and other output generated by the Service ("Output") are produced in part by large language models. Output is provided to you for your personal use. You are responsible for evaluating Output for accuracy, safety, and suitability before relying on it. Output may resemble output provided to other users; we do not guarantee that any particular Output is unique to you.

11. Intellectual property

MealPlan, the MealPlan name, the underlying software, design, and all related materials (excluding Your Content and Output) are owned by Gray Swan Solutions and are protected by copyright, trademark, and other laws. We grant you a limited, personal, non-transferable, non-exclusive license to access and use the Service in accordance with these Terms. No other rights are granted by implication.

12. Service availability and changes

We aim to keep the Service available and reliable, but we do not guarantee any specific uptime. We may add, modify, or remove features at any time. If we make a change that materially reduces the functionality of a paid plan, we will give you reasonable notice and a pro-rated refund opportunity for the unused portion of your current paid period.

13. Termination

You may stop using the Service at any time and delete your account by contacting holden@grayswan.solutions. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends; sections of these Terms that by their nature should survive termination (including 9, 10, 11, 14, 15, 16, and 17) will survive.

14. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of dealing.

MealPlan does not warrant that the Service will be uninterrupted, error-free, or secure, or that Output will be accurate, complete, safe, or suitable for your particular dietary needs. Always verify ingredients against your allergies and consult a qualified professional for medical, nutritional, or dietary advice.

15. Limitation of liability

To the maximum extent permitted by law, in no event will Gray Swan Solutions, its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses arising out of or relating to your use of the Service.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the above limitations apply to the maximum extent permitted by law.

16. Indemnity

You agree to indemnify and hold Gray Swan Solutions harmless from any claim, demand, loss, or damage (including reasonable attorneys' fees) arising out of (a) your use or misuse of the Service, (b) Your Content, or (c) your violation of these Terms or of any law or third-party right.

17. Governing law and disputes

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

Before filing any claim, you agree to first contact us at holden@grayswan.solutions and attempt in good faith to resolve the dispute for at least 30 days.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the date at the top of this page and notify active users by email or in-app notice before the changes take effect. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

19. Miscellaneous

• If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• Our failure to enforce any right or provision is not a waiver of that right or provision.
• These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
• You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
